Experience:
Mónica Villafaña has a general and broad practice in general business and corporate law. Currently Ms. Villafaña manages the firm’s portfolio of about 300 local and foreign companies, including their incorporation, corporate legal compliance, development such as shareholders meetings, board of directors, bylaws modifications, corporate annual maintenance, etc.
She has represented several multinational companies in corporate reorganization processes such as mergers, spin-offs, acquisitions, dissolutions, corporate restructuring, tax planning, contributions in kind, transfer of shares, transfer of assets, incorporation and registration of non profit organizations, etc.
Has a wide domain of local legislation and international management of Offshores companies. Also practices in the development and establishment of local free zones for foreign and local investors, joint ventures, shareholders agreements, acquisitions of important Dominican and foreign companies, credit assignment contracts, loan agreements, distribution and agency agreements, service contracts, memorandums of understanding, due diligence, legal opinions on the corporate level and business law (companies, international law, tax law, etc.), legal research legislative, jurisprudential and doctrinal, Dominican and international, among others.
Villafaña past representations include local and international negotiations, such as the merger of an international major courier local branch with its subsidiary; the merger of one of the most important local chocolate makers with an affiliate company; merger of an internationally known marketing group; acquisition of the 49% of a local steel maker company by one of the largest steelmakers in the world; merger of one of the most important jewelry makers local free zone company with a local free zone company; project finance for the acquisition of a health care products manufacturer multinational company by a major French company, amongst others.
Has been the main the speaker in Seminars regarding the implementation of the recently enacted Companies/Corporations Law in the Dominican Republic, and is a member of the various commissions created by the Executive Branch and local non profit institutions to study the implementation of the Companies Law, and propose modifications.
